1. Overview
These Terms of Service (“Terms”) govern your use of the MemeNow YinYang Agent web application, TikTok Login Kit authentication, and related services provided by memenow LLC (“memenow,” “we,” “us,” or “our”). By accessing or using the Service, including creating an account, purchasing memberships, or completing an analysis, you agree to these Terms. If you do not agree, you must stop using the Service.
2. Definitions
- Service means the YinYang Agent interface, analysis engines, APIs, and related content hosted via Cloudflare Workers.
- Account means the credentials you create or access through third-party OAuth providers, including TikTok Login Kit.
- Membership means any paid subscription or premium unlock offered through Stripe.
- Content means all reports, insights, charts, text, graphics, audio, or other materials made available by memenow.
3. Eligibility and Account Registration
You must be at least 18 years old and capable of entering into a binding contract to use the Service. When you create an account, you agree to provide accurate information and to maintain the security of your credentials. Signing in through Google or TikTok Login Kit authorizes memenow to receive the profile data required to authenticate you and operate the Service.
4. Account Security
You are responsible for all activity under your account. Notify us promptly if you suspect unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or that compromise the security of the Service. We may require human verification, such as Cloudflare Turnstile, before high-risk free-tier actions.
5. Services, Free Tier, and Memberships
memenow provides BaZi analysis, Insight Entry surfaces, and related recommendations for informational and entertainment purposes. We offer a free tier with usage limits, which is provided on an “as-is” and non-SLA basis and may be modified or discontinued at any time. Free usage may be counted with a first-party device key and limited security signals to prevent duplicate allowance abuse. Paid memberships may grant the membership credits, member tools, and report access described at purchase. We may introduce new features, limits, or remove functionality with reasonable notice.
6. Billing and Payment
All paid transactions are processed by Stripe, Inc. or its affiliates. One-time purchases unlock a specific YinYang Agent report and are billed per checkout. We also offer an optional monthly subscription that recurs automatically until canceled. Prices are displayed in U.S. dollars unless stated otherwise. Stripe stores and tokenizes payment credentials, and memenow does not collect or retain raw card numbers.
- Charges are authorized at the time you confirm checkout. Access is granted once Stripe marks the session as paid.
- If Stripe cannot collect payment, the associated report remains locked until you complete a successful checkout.
- Monthly subscriptions renew automatically each billing cycle unless you cancel before the renewal time.
7. Refunds
Refund requests follow the Refund Policy published on this site. Single report unlocks are non-refundable: the full reading is delivered immediately on unlock, so the purchase is final. Report unlocks purchased before June 14, 2026 remain covered by the previous policy and are refundable within 14 days of the original purchase by contacting support. Basic credit packs are non-refundable once purchased. Monthly subscriptions are refundable on a prorated basis from your account membership page — the unused portion of the current cycle, reduced by the value of any report unlocks already used this cycle — and issuing the refund ends the subscription and revokes access immediately. You may instead cancel at any time to stop future renewals and keep access through the end of the current billing period.
8. Acceptable Use
Your use of the Service must comply with all applicable laws and the following rules:
- Do not attempt to reverse engineer, scrape, or circumvent technical protections.
- Do not use the Service to transmit malicious code or to harass, defraud, or mislead others.
- Do not resell, sublicense, or distribute reports without written consent from memenow.
- Do not automate access to the Service except through documented APIs with our prior approval.
9. Intellectual Property
The Service, including all content, trademarks, and software, remains the exclusive property of memenow or its licensors. Subject to your compliance with these Terms, memenow grants you a limited, non-exclusive, non-transferable license to access the Service for personal, non-commercial use. No other rights are granted, whether by implication or otherwise.
10. Third-Party Services
The Service integrates with third-party providers including TikTok Developer Platform (e.g., Login Kit), Stripe, Neon PostgreSQL, Cloudflare, and other infrastructure vendors. Your use of these services is subject to their respective terms and policies. memenow is not responsible for third-party products and does not guarantee their availability.
11. Privacy
memenow’s Privacy Policy describes how we collect, use, and share personal information. By using the Service you acknowledge that your data will be processed in accordance with that policy, including transfers to the United States and other countries where our providers operate.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MEMENOW DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF ANALYTICAL OUTPUTS. Guidance generated by the Service should not be treated as professional, medical, legal, or financial advice.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MEMENOW’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS PAID BY YOU TO MEMENOW DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. MEMENOW SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to indemnify, defend, and hold harmless memenow, its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising out of your breach of these Terms, misuse of the Service, or violation of applicable law.
15. Suspension and Termination
memenow may suspend or terminate your access immediately if you violate these Terms, if required by law, or if continued service poses a security or compliance risk. Upon termination, your license ends and you must cease using the Service; certain provisions, including Sections 9 through 18, survive termination.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law principles. Any dispute arising out of these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in Wilmington, Delaware, unless applicable law requires a different forum. Either party may seek injunctive relief in a competent court to protect intellectual property or confidential information.
17. Changes to These Terms
memenow may update these Terms to reflect operational or legal changes. Material revisions will be announced via email or through the Service at least seven (7) days before they become effective. Continued use after the effective date constitutes acceptance of the updated Terms.
